This agreement is between Need a Name Media LLC ("NANM") and the client named below. Please read carefully before signing.
Service Provider: Need a Name Media LLC ("NANM"), a Washington limited liability company. Contact: m@matthewbrandenburg.com.
Client: The individual or business entity identified in the signature block below ("Client").
Together NANM and Client are referred to as the "Parties." This Agreement governs the ongoing Command Center service described herein.
NANM will design, build, and maintain a custom Command Center for Client. The Command Center is a web-based operations dashboard tailored to Client's business. Standard services included in the monthly retainer:
Additional API integrations (Meta Ads, Google Analytics, GoHighLevel, Shopify, and similar third-party platforms) are not included in the base retainer and will be scoped and billed separately prior to build. NANM will provide a written quote for any integration before work begins.
A one-time onboarding fee of $1,500 is due before any build work begins. This fee covers discovery, scoping, initial dashboard build, and onboarding of Client to the platform.
The onboarding fee is non-refundable once work has commenced. If Client cancels before work begins, NANM will refund the full onboarding fee within 5 business days.
Following the onboarding period, Client will be billed $750 per month on the 1st of each calendar month. The first monthly payment is due upon launch of the live dashboard.
Clients requiring management of additional accounts, locations, or sub-clients within the same dashboard will be billed $500 per additional account per month, billed alongside the base retainer. Additional accounts must be agreed upon in writing before being added.
Payment is due within 7 days of invoice. Accounts more than 14 days past due may result in suspension of the dashboard until payment is received. NANM will provide at least 3 days written notice before any suspension.
NANM may adjust monthly rates with 60 days written notice to Client. Rate increases will not apply during any active contract term without Client's written consent.
This Agreement begins on the Effective Date and continues on a month-to-month basis until terminated by either Party.
Either Party may cancel this Agreement by providing 30 days written notice to the other Party via email. Notice sent to NANM must be directed to m@matthewbrandenburg.com. Notice sent to Client will be directed to the email provided in the signature block below.
Upon cancellation, Client retains access to the dashboard through the end of the paid period. After the final paid period, NANM will provide Client with an export of their data upon written request within 30 days of termination.
NANM reserves the right to terminate this Agreement immediately for cause, including but not limited to: non-payment, misuse of the platform, or violation of any term herein.
Client agrees to:
Client retains ownership of all content, data, branding, and business information provided to NANM. NANM retains ownership of the underlying platform framework, code structure, and any proprietary systems used to build and maintain the dashboard.
Upon full payment and termination, NANM will provide Client with a static export of their dashboard. NANM may display the work in its portfolio as an example of services rendered unless Client requests otherwise in writing.
Both Parties agree to keep confidential any non-public business information shared during the course of this engagement. NANM will not share Client's business data, metrics, or content with any third party without written consent, except as required by law.
NANM's total liability under this Agreement shall not exceed the total fees paid by Client in the three (3) months preceding the claim. NANM is not liable for indirect, incidental, consequential, or punitive damages of any kind.
The Command Center is provided as an operational tool. NANM does not guarantee specific business outcomes, revenue growth, or marketing results from use of the dashboard.
This Agreement shall be governed by the laws of the State of Washington. Any disputes arising from this Agreement shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in King County, Washington.
This Agreement constitutes the entire understanding between the Parties with respect to the Command Center service and supersedes all prior discussions, proposals, or representations. Amendments must be made in writing and signed by both Parties.
If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.
By signing below, both Parties agree to the terms of this Command Center Service Agreement.
